Terms of Service

Welcome to AfroPulse Youth Initiative (AYI). These Terms of Service ("Terms") govern your access to and use of AYI's programs, services, websites, and platforms, including the AYI Career Accelerator (Mentorship), the AYI Innovation Lab (Incubation), and the Active Citizenship initiatives (collectively, the "Services").

By applying, participating, or otherwise using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms and Program Eligibility

1.1 Acceptance:

By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.

1.2 Eligibility:

Participants must meet the specific eligibility requirements for each pillar:

  • Mentorship (AYI Career Accelerator): High-potential youth must be aged 18-35 and mentors must be experienced global professionals.
  • Incubation (AYI Innovation Lab): Youth-led enterprises must address critical local and regional challenges and commit to the full 12-18 month development cycle.

1.3 Code of Conduct:

All participants must adhere to AYI's professional Code of Conduct, promoting respect, integrity, non-discrimination, and ethical behavior in all interactions. Violations may result in immediate suspension or termination from the Services.

2. Program Commitments and Expectations

A. Mentorship (AYI Career Accelerator)

2.1 Commitment:

Mentees and Mentors agree to a structured 6-month commitment.

2.2 Responsibilities:

Participants are expected to actively engage, attend scheduled sessions, complete assigned tasks (mentees), and provide consistent, constructive guidance (mentors).

2.3 Relationship:

The relationship is strictly professional and developmental. AYI is not responsible for any outcomes or agreements reached outside the structured program sessions.

B. Incubation (AYI Innovation Lab)

2.4 Term:

Youth-led enterprises commit to the intensive development coaching cycle, typically 12-18 months.

2.5 Funding & Equity:

Seed funding provided by AYI will be subject to a separate, specific Grant or Investment Agreement. AYI reserves the right to negotiate terms, including potential equity or revenue sharing, as detailed in that specific agreement.

2.6 Reporting:

Enterprises must commit to rigorous Monitoring and Evaluation (M&E) reporting, providing accurate data on progress toward product-market fit, securing external investment, and overall sustainability.

C. Peacebuilding (Active Citizenship & Payback Pledge)

2.7 Payback Pledge:

Graduates of the AYI Career Accelerator and AYI Innovation Lab are required to complete a Payback Pledge/Community Project or volunteer as the next generation of mentors/resource providers, ensuring AYI's closed-loop ecosystem and long-term sustainability.

2.8 Dialogue Forums:

Participation in dialogue forums requires a commitment to peaceful conflict resolution and respectful civic discourse.

3. Intellectual Property and Data Use

3.1 Content Ownership:

AYI retains all intellectual property rights to its program curricula, training materials, websites, and proprietary platforms.

3.2 Project IP (Innovation Lab):

The participating enterprise retains ownership of its core Intellectual Property (IP). However, AYI may require a limited, non-exclusive, royalty-free license to use project names, logos, and summarized impact data for promotional, M&E, and reporting purposes.

3.3 Data Use:

By participating, you grant AYI permission to collect and use your program data and Key Impact Metrics (e.g., Career Advancement Rate, Investment Secured) in an anonymized or aggregated manner for its M&E Framework, reporting to donors, and for publicizing AYI's demonstrable success. 4. Disclaimer of Warranties and Limitation of Liability

4.1 No Guarantee:

AYI provides its Services on an "as-is" and "as-available" basis. AYI does not guarantee specific results, including but not limited to job placement, securing external funding, or project success, as these outcomes depend on individual participant effort and external market factors.

4.2 Limitation of Liability:

To the maximum extent permitted by law, AYI, its directors, employees, and partners will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your participation in the Services or the use of AYI platforms.

5. Termination

5.1 AYI Right to Terminate:

AYI reserves the right to suspend or terminate a participant's access to the Services immediately, without prior notice, if the participant violates these Terms, the AYI Code of Conduct, or engages in any conduct that AYI deems harmful to its mission, reputation, or other participants.

5.2 Participant Withdrawal:

Participants may withdraw from the Services by providing written notice to HFA.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of KENYA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in that jurisdiction.
